Terms of Service

This is a reference translation. The Japanese version is authoritative; if any discrepancy exists, the Japanese version prevails.

Introduction

These Terms of Service ("Terms") set out the conditions for using the DUOclip app and its related web pages (the "Service") provided by VAULT, LIMITED LIABILITY CO. ("we" or "us"). Everyone who uses the Service ("users") agrees to these Terms.

Article 1 (Scope)

  1. These Terms apply to all relationships between users and us concerning use of the Service.
  2. Our Privacy Policy, Child Safety Standards and account deletion page published in the Service form part of these Terms.
  3. If a translation of these Terms differs from the Japanese version, the Japanese version prevails.

Article 2 (The Service)

  1. The Service lets users send a 5-second video to friends or people they invite, and joins it with a 5-second reply video recorded by the other person (a "DUO Reply") into one video (a "DUO").
  2. The Service includes features such as stickers, notes and DUO Reactions, choosing a BEST, automatic subtitles and translation, REPLAY, saving to the device, push notifications, and DUOs and DUO Replies from the official DUOclip account.
  3. The core features of the Service are free.
  4. We offer an optional paid plan, DUOclip Plus (Article 12), and may show ads to users who do not subscribe to it. The paid plan and ads may be rolled out gradually, so some users may not yet be able to use or see them.

Article 3 (Eligibility and age)

  1. The Service is for people aged 13 or older. People under 13 may not use it.
  2. If you are under 18, or under the age at which the laws of your country or region require parental consent, use the Service only with your parent's or guardian's consent.
  3. If we find that a user does not meet the age requirement, we may suspend or delete the account.

Article 4 (Accounts)

  1. You need to sign in with an Apple or Google account to use the Service.
  2. You can set an ID (username), nickname and icon. These are shown to your friends and the people you send videos to, and appear in videos made with the Service. You may not use ones that impersonate others, infringe others' rights or are otherwise inappropriate.
  3. You are responsible for managing the account you sign in with.
  4. You can delete your account at any time from My Page in the app. The account deletion page explains how and what happens.

Article 5 (Your content)

  1. Rights to the videos, audio, images, text and other content you record or send in the Service ("your content") belong to you or the rightful owner.
  2. You grant us a free license to store, copy, process (including combining into DUOs, adding subtitles, showing your ID, nickname and icon, and making thumbnails), transmit and display your content to the extent needed to provide, operate and improve the Service and keep it safe. This license does not let us publish your content outside the Service or use it in advertising.
  3. You confirm that you have the necessary rights to your content and the necessary consent of people who appear or can be heard in it.
  4. Your content is shown to the people you choose (all your friends, the friends you picked, or people who opened your invitation link and signed in). A DUO chosen as BEST is shown to everyone the DUO reached.
  5. The people you send to may be able to save videos they can see to their devices. We cannot delete videos saved on someone else's device.

Article 6 (Automated processing and AI features)

  1. To keep the Service safe, we review your content automatically. Content judged to clearly violate these Terms may stop being shown. Automated review can make mistakes and does not guarantee that content is free of violations.
  2. Automatic subtitles and translations, and DUO Replies from the official DUOclip account (videos in which a line written by AI is spoken in a synthetic voice), are generated automatically and may be inaccurate.
  3. Our Privacy Policy explains what information is sent to external services for this processing.

Article 7 (Prohibited conduct)

When using the Service you must not:

  • break the law or act against public order and morals
  • engage in child sexual abuse and exploitation (CSAE), including creating, posting, sharing, storing or distributing child sexual abuse material (CSAM), grooming minors (approaching them for sexual purposes) or sextortion (threatening someone with sexual images)
  • post sexual or obscene content
  • post violence or threats, content encouraging self-harm or suicide, or content promoting crime or terrorism
  • harass, bully, defame or discriminate against others
  • invade others' privacy, including filming or posting people without their consent or exposing their personal information
  • infringe copyrights, portrait rights or other rights of others
  • impersonate others or use the Service with a false age
  • use the Service for spam, solicitation, sales or advertising
  • interfere with the Service, including unauthorized access, automated use, or reverse engineering except where permitted by law
  • misuse the reporting feature
  • do anything else we reasonably consider inappropriate

Article 8 (Reports, blocking and enforcement)

  1. You can use the in-app report feature to tell us about inappropriate content or users, and you can block other users.
  2. We review reports. If we find a violation of these Terms, we may, without prior notice, hide or delete content, limit features, or suspend or delete accounts. We never take action automatically based only on the number of reports.
  3. For violations involving child safety, we will immediately delete the account and report to the relevant authorities as required by law, following our Child Safety Standards.
  4. If you disagree with our action, you can appeal from "Review requests" in My Page in the app or through our contact channel.

Article 9 (Intellectual property)

  1. Rights to the Service, including the app, design, characters, logos and software, belong to us or the rightful owners.
  2. You may save and share DUOs you took part in within the limits of these Terms and the law. When sharing a DUO that includes another participant's video outside the Service, respect that person's rights and privacy.

Article 10 (Changes, interruption and termination)

  1. We may change the Service or stop providing it. We will try to announce important changes or termination in advance in the app or on this page.
  2. We may temporarily interrupt the Service for maintenance, outages, the suspension of external services or other unavoidable reasons.

Article 11 (Disclaimer)

  1. We do not guarantee that the Service is free of factual or legal defects.
  2. We are not responsible for disputes between users, or between users and third parties, unless we are at fault.
  3. If we cause you loss, our liability is limited to ordinary and direct damages, except in cases of our intent or gross negligence.
  4. Nothing in these Terms limits the rights consumers have under the laws of the country or region where they live.

Article 12 (DUOclip Plus paid plan)

  1. We offer DUOclip Plus ("Plus"), an optional auto-renewing paid plan. Its benefits are no ads, choosing photos and videos from your whole library in REPLAY (without Plus, the last 30 days), a Plus badge beside your name in friend lists and profiles, and a choice of app icons. We may change these benefits after giving notice in the app or on this page.
  2. Plus is billed monthly or yearly at the price shown in the store before you buy. New subscribers can use a 7-day free trial.
  3. Payment is made through the Apple App Store or Google Play and is subject to that store's terms. The subscription renews automatically for the same period, and you are charged, unless you cancel at least 24 hours before the current period ends. If you do not cancel before the free trial ends, charges begin when the trial ends.
  4. You can cancel at any time from the store's subscription management. After cancelling, you can keep using Plus until the end of the period you have paid for. Refunds are handled by the store under its rules.
  5. Deleting your DUOclip account does not cancel the subscription. Cancel it in the store before deleting your account.
  6. The core features of the Service, including sending videos, DUO Replies, reactions, choosing a BEST, viewing results, reporting, blocking and deleting your account, remain free without Plus.
  7. We use an external provider to verify purchases and manage subscription status. See the Privacy Policy for details.

Article 13 (If you got the app from the App Store)

If you obtained the Service from the Apple App Store, these Terms are an agreement between you and us, not Apple. We, not Apple, are responsible for the Service and its content. Apple has no obligation to provide maintenance or support for the Service.

Article 14 (Changes to these Terms)

We may change these Terms in accordance with the provisions of the Japanese Civil Code on standard terms. When we do, we will announce the new content and its effective date in advance on this page or in the app.

Article 15 (Governing law and jurisdiction)

  1. These Terms are governed by the laws of Japan.
  2. The Tokyo District Court has exclusive jurisdiction in the first instance over disputes between users and us concerning the Service. This does not affect the rights consumers have under the laws of the country or region where they live.
